Stock Split
There are several key dates to consider:
The Record Date – November 10, 2020: shareholders are entitled to receive 3 additional shares for each share owned on this date. Shares will not be received until the Payment Date.
The Payment Date – November 23, 2020: shareholders will receive 3 additional shares for each share owned on the Record Date.
The Ex-Date – November 24, 2020: the date determined by the New York Stock Exchange when Tempur Sealy common shares will begin trading on a stock-split adjusted basis.
The additional shares to be distributed to you as a result of the stock split will be distributed through the Direct Registration System (DRS).
If you hold shares in a brokerage account, the additional shares to reflect the split will be deposited into your account following the Payment Date (November 23, 2020). Contact your broker if you have any questions regarding timing.
If you hold your shares directly with Tempur Sealy’s transfer agent, American Stock Transfer & Trust Company, LLC (AST) or hold a physical stock certificate, the additional shares to reflect the split will be deposited into your account immediately following the Payment Date (November 23, 2020). If you hold a physical stock certificate, a physical stock certificate for the additional shares will not be issued. Rather, your shares will be recorded electronically on the books of AST.
If your stock is currently held in a brokerage account, information will be provided to you by your broker.
If you currently hold stock certificates in your name or hold shares directly with AST, AST will mail a DRS Transaction Statement along with a cover letter to your address on record. The DRS Transaction Statement is your confirmation and will indicate only the number of additional shares that you received from the stock split based on your share balance as of the Record Date. It will not indicate your total share balance following the stock split.
